These Terms & Conditions govern your use of the Hanxio website and the delivery of services provided by Hanxio (“Hanxio”, “we”, “us” or “our”). By contacting us, approving a proposal, or engaging us for a project, you agree to these terms and any project-specific terms set out in a written proposal or statement of work.
Hanxio designs and builds AI-powered software, websites, apps, internal tools, integrations, and digital products for growing businesses.
1.1 Scope. The services, deliverables, milestones, timeline, and fees for each project will be described in a written proposal or statement of work.
1.2 Changes. Requests that materially change the agreed scope may require a revised fee or timeline. Hanxio will confirm any material change before work begins.
1.3 Client responsibilities. You agree to provide timely feedback, accurate information, access to required systems, and any content or approvals needed to keep the project moving.
2.1 Payment terms. Fees, deposits, payment milestones, and payment dates will be set out in the applicable proposal or invoice.
2.2 Late payment. Hanxio may pause work or withhold delivery of unfinished work when an invoice is overdue, after providing reasonable notice.
2.3 Third-party costs. Hosting, software subscriptions, domain names, paid APIs, stock assets, and other third-party charges are your responsibility unless the proposal states otherwise.
3.1 Client materials. You retain ownership of materials, data, trademarks, and content you provide to Hanxio.
3.2 Final deliverables. Once all project fees are paid, you receive the rights to the final bespoke deliverables identified in the proposal, subject to any third-party or open-source licenses.
3.3 Hanxio materials. Hanxio retains ownership of its pre-existing tools, processes, reusable components, know-how, and general techniques. Unless you request otherwise in writing, Hanxio may identify completed work in its portfolio after launch.
Hanxio will perform the agreed services with reasonable care and skill. We will make reasonable efforts to correct material defects in delivered work reported within the support period stated in the proposal. Ongoing maintenance, monitoring, debugging, and support are provided when included in a separate agreement or package.
Each party will keep the other party’s confidential information private and use it only for the project. Neither party will be liable for indirect or consequential losses. To the extent permitted by law, Hanxio’s total liability for a project will not exceed the fees paid for that project.
Either party may end a project if the other party materially breaches these terms and does not remedy the breach within a reasonable period after written notice. On termination, you will pay for work completed and approved expenses incurred up to the termination date.
